    • Engaging in unlawful, fraudulent, or abusive behavior.
    • Using the services for purposes not agreed upon in writing.
    • Reverse engineering or attempting to copy proprietary elements of our solutions.

4. Intellectual Property

  • All materials, content, and solutions provided by Huumen.ai are the exclusive property of Huumen.ai or its licensors unless otherwise agreed in writing.
  • You are granted a limited, non-exclusive, non-transferable license to use deliverables for internal purposes only. Reproduction, distribution, or modification of deliverables without prior written consent is prohibited.

5. Confidentiality

  • Both parties agree to maintain confidentiality regarding proprietary information, trade secrets, and sensitive project details shared during engagements.
  • Exceptions include information already in the public domain or required to be disclosed by law.

6. Payment Terms

  • Invoices will be issued as per the agreed statement of work or contract.
  • Payments are due within [30 days] of the invoice date unless otherwise stated.

  • Disclaimer: Except as expressly provided, services are provided “as is,” without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose.

9. Indemnification

You agree to indemnify and hold harmless Huumen.ai, its employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your breach of these Terms.
  • Your misuse of the services.

10. Termination
